Italy - SRL Company Incorporation

The incorporation process of your Italian Srl takes around two weeks. The concept of a ready made company is not applicable in Italy as the public deed of incorporation (atto constitutivo) and the company's statutes are drafted and executed before a notary, in person by the shareholders' or their authorised representatives.

The authorised share capital requirement for your Srl is €10,000. At least 25% of the share capital must be deposited within a bank in Italy before the Deed of Incorporation is executed. For a sole shareholder, Italian law requires the entire share capital will be fully paid-up at the time of the incorporation. The Bank will issue a deposit certificate to be attached to the Deed of Incorporation.

Documents and Information

To start incorporating your company in Italy we require the following:

? Your Company Name

? Your Company Activities

? The Director/s full name, date of birth, address and nationality

? The Shareholder/s full name and address

Documents you are required to provide:

? Proof of identity. Either passport, national identity card, photographic driving licence

? Proof of residential address. Gas/electricity bill or credit/debit card bank statement dated within the last three months

Before starting the incorporation process, we are obliged, by law, to obtain some basic info about the company. In particular, we need:

? Detailed description of the activity that the new company is going to perform and business plan - if available

? Expected breakdown of the company share capital among the shareholders

? The expected amount of yearly sales for the first two or three years

? Will the company hire employees

? The countries with which the company will do business

The legal representative of the company will be required to go to the notary in Milan for the incorporation or delegate someone else through POA.

Before going to the notary the shareholders need to deposit the share capital in the bank.

Incorporating your Srl

Formacompany recommends that you  personally visit Italy to complete the formalities of your company formation. We will organize all meetings for you and you will only need 24 hours in Italy if coming from abroad to meet with notaries, lawyers, accountants and banks so you save time.

However, is possible to be represented by another person, a power of attorney. A power of attorney certified with a Apostille or a Legalisation by a foreign notary must be used for this purpose. Formacompany can represent you as founder and/or shareholder before the notary at your request. However, if you do wish to use this option, please note that this process is of a somewhat lengthy duration; and is increasingly difficult to open a Italian bank account, if at all successful.

Directors

? Only one director is required for a SRL company. 

? All directors need a fiscal number (codice fiscale).

? Formacompany will obtain your fiscal number as part of the standard incorporation price.

? All directors must hold a EU passport, but may reside anywhere.

? There is no requirement to appoint a local resident director.

Shareholders

? Only one shareholder is required

? A sole shareholder Srl will have to have the words 'Società Uninominale' in its title and liability will be deemed to be unlimited.

? It is advised that your company has two or more shareholders.

? Only 25% share capital needs to deposited before incorporation with two or more shareholders.

? Shareholders need to obtain a fiscal number; whether they are an individual or a corporation.

? Formacompany will obtain your fiscal number as part of the standard incorporation price.

? A shareholder can be an individual or a corporation. 

Registered Office

According to Italian law every company has to provide an official registered office where company books and official documents are kept. This is the address where your company will be registered.

Bank Account Introduction

In Italy and most European countries, to obtain a company you will need a resident bank. Formacompany can introduce you, book you an appointment and help with the application to the bank. Each bank has its own policy, some will allow you to deposit the share capital without visiting a local branch, but a personal visit will be required to activate the account and begin using it. Other banks will require a personal visit even to deposit the share capital.
