When you have decided to register a company in Malaysia, you will need to engage the service of a company secretary to help you to complete the company registration process.
Every company (sdn bhd) must have at least one company secretary in the Board and the company secretary must be a member of a professional body or licensed by SSM Malaysia.
Your company secretary will require the following documents or information from you in order to proceed the company registration process.
? New company’s name
? New company’s business activities
? Identity card (Malaysian) or Passport (Foreigner) of 2 directors & 2 shareholders
? Residential address of all directors & shareholders
? Shareholding structure
Upon receiving the above documents, the company secretary will submit the Form 13A (Company Name Search Application Form) to SSM Malaysia for their approval of using the name in the new company.
The company secretary will prepare the registration documents after the approval for new company’s name has been received from SSM.
Sdn Bhd stands for Sendirian Berhad and is private limited company in Malaysia. All locally incorporated companies must carry with “Sdn Bhd”, and for public company, with “Bhd” or “Berhad” only.
Currently, most companies in Malaysia are only allowed to be incorporated limited by shares. It means a company formed with its shareholders’ liabilities limited by capital that invested in the company.
You and your partner must sign all registration documents that prepared by the company secretary, most of time at the company secretary’s office. You will normally be required to pay full payments before the company secretary can proceed to the next action.
After receiving your payment, the company secretary will arrange the Form 48A to be attested by the Commissioners for Oaths and stamping on the M&A (Memorandum & Articles of Association) by the Stamping Office (Inland Revenue Board).
Once all the above have been done, the company secretary will submit the following documents to SSM for the company registration purposes:
? Form 48A (declaration by directors & shareholders)
? Form 6 (declaration by company secretary)
? M&A (Memorandum & Articles of Association)
? Identity cards/Passports of all directors & shareholders
? Bank draft of RM1,000 payable to SSM (registration of RM400,000 authorised capital)
Within 1 working day, SSM Malaysia will issue the Form 9 (Certificate of Incorporation) for your new company.
The issuance of Form 9 indicates that your new company has been successfully incorporated with SSM Malaysia and you may now start your business immediately!
